Partner Terms & Conditions
These Vendor Terms & Conditions (“Agreement”) govern the relationship between Deepija Telecom Private Limited(“Deepija Telecom”, “VoiceBotMall”, “Company”, “we”, “our”, or “us”) and the Vendor (“Vendor”, “you”, or “your”) using the VoiceBotMall platform.
By registering as a Vendor, you acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions.
01. Vendor Eligibility
The Vendor represents and warrants that:
- All registration information is true, complete, and accurate.
- The Vendor possesses all licenses, certifications, registrations, and approvals required to provide the listed services.
- The Vendor has full authority to enter into this Agreement.
- The Vendor shall promptly notify Deepija Telecom of any material changes to its business information.
02. Nature of Relationship
The Vendor is an independent contractor. Nothing contained in these Terms shall be construed as creating:
- Employer-employee relationship
- Agency
- Partnership
- Joint venture
- Franchise
The Vendor has no authority to bind Deepija Telecom in any manner.
03. Vendor Listings
The Vendor is solely responsible for:
- Accuracy of service descriptions
- Pricing
- Images
- Marketing material
- Certifications
- Claims made regarding services
Deepija Telecom reserves the right to edit, reject, suspend, hide, or remove any listing without notice if it:
- Violates applicable law
- Is misleading
- Contains false information
- Damages the reputation of VoiceBotMall
- Violates platform policies
04. Lead Ownership
All customer enquiries, leads, prospects, opportunities, and clients generated, referred, or introduced through VoiceBotMall shall remain the exclusive business assets of Deepija Telecom. Registration on VoiceBotMall does not transfer ownership of any client relationship to the Vendor.
Deepija Telecom reserves the exclusive right to:
- Allocate leads
- Reassign leads
- Withdraw leads
- Monitor communications
- Determine the engagement process for platform-generated clients
Deepija Telecom does not guarantee any minimum number of leads, projects, enquiries, revenue, or business opportunities.
The Vendor acknowledges and agrees that:
- All payments from clients introduced through VoiceBotMall shall be collected by Deepija Telecom unless otherwise expressly authorized in writing.
- The Vendor shall not directly request, collect, receive, or accept any payment from a client introduced through VoiceBotMall without the prior written approval of Deepija Telecom.
- The Vendor shall not issue invoices, quotations, purchase orders, contracts, payment links, bank account details, UPI IDs, or any other payment instructions directly to platform-generated clients unless expressly authorized by Deepija Telecom.
- All future projects, renewals, upgrades, maintenance contracts, support services, additional work, referrals, or repeat business arising from a client introduced through VoiceBotMall shall continue to be routed through Deepija Telecom for a period of twenty-four (24) months from the date of the last client engagement, unless otherwise agreed in writing.
- Any attempt by the Vendor to bypass this process shall constitute a material breach of this Agreement and may result in immediate suspension or termination, forfeiture of outstanding payments (to the extent permitted by applicable law), removal from the platform, and legal action to recover any losses or damages suffered by Deepija Telecom.
- Deepija Telecom reserves the right to communicate directly with platform-generated clients at any stage of the engagement for quality assurance, project coordination, payment collection, dispute resolution, or any other business purpose.
- Deepija Telecom reserves the right to reassign a client or project to another Vendor if, in its sole discretion, it considers such reassignment necessary to protect the interests of the client or the platform.
Deepija Telecom does not guarantee any minimum number of leads, projects, enquiries, revenue, or business opportunities.
05. Non-Circumvention
The Vendor agrees that:
- Clients introduced through VoiceBotMall shall not be approached, contacted, solicited, contracted, invoiced, or serviced outside the involvement of Deepija Telecom.
- Vendors shall not encourage any client to bypass VoiceBotMall.
- Vendors shall not request clients to communicate outside approved channels for the purpose of avoiding Deepija Telecom.
- Vendors shall not share personal contact information with clients to avoid platform processes.
- Vendors shall not enter into direct commercial agreements with platform-generated clients without the prior written approval of Deepija Telecom.
This obligation shall continue during the Vendor’s association with VoiceBotMall and for 24 months after the last client introduction.
Any violation shall entitle Deepija Telecom to:
- Immediate removal from the platform
- Immediate termination of services
- Recovery of all unpaid dues
- Claim compensation for losses suffered
- Initiate legal proceedings
06. Commission Protection
Where applicable, if Deepija Telecom is entitled to a commission, subscription, referral fee, or revenue share:
- Such payment shall remain payable even if the client subsequently contracts directly with the Vendor.
- Vendors shall not structure transactions to avoid commissions.
- Deepija Telecom reserves the right to audit transactions relating to platform-generated clients.
07. DID Services
Where Deepija Telecom allocates a Direct Inward Dialing (DID) number:
- The DID shall remain valid only while it remains connected to the telecom infrastructure and services provided by Deepija Telecom.
- Ownership of the DID shall remain with Deepija Telecom and/or its licensed telecom partners.
- Vendors shall not transfer, port, assign, sell, lease, or otherwise use the DID independently.
- Upon suspension or termination, Deepija Telecom may immediately disconnect, recover, or reassign the DID without notice.
08. Commercial Model & Payment
The Vendor acknowledges that:
- The first three (3) months from onboarding may be offered under an introductory commercial arrangement, as communicated by Deepija Telecom.
- From the fourth (4th) month onwards, the Vendor shall be on a prepaid subscription model.
- All subscription charges must be paid in advance.
Failure to pay before the due date may result in immediate:
- Suspension of the Vendor account
- Removal from VoiceBotMall
- Deactivation of leads
- Suspension of DIDs and associated services
Deepija Telecom shall not be liable for any business loss arising from suspension due to non-payment.
09. Vendor Payouts
The Vendor acknowledges and agrees that:
- Vendor payments are contingent upon Deepija Telecom receiving payment from the respective client.
- Deepija Telecom shall release the Vendor’s payment only after the corresponding client payment has been successfully received and realized in Deepija Telecom’s designated bank account.
- Deepija Telecom shall make commercially reasonable efforts to process the Vendor’s payout within 7–15 business days (or such other timeline as communicated) after receipt of cleared funds from the client.
- Deepija Telecom shall not be liable for any delay in Vendor payments resulting from delayed, disputed, partial, or non-payment by the client.
- In the event a client withholds, disputes, reverses, or fails to make payment, Deepija Telecom shall have no obligation to pay the Vendor until such payment is recovered from the client.
- Any applicable taxes, deductions, commissions, platform fees, or other agreed charges may be deducted before releasing the Vendor’s payment.
- The Vendor shall provide accurate banking and tax information and shall be responsible for any delays arising from incorrect or incomplete payment details.
10. Performance Standards
Vendors shall:
- Maintain professional conduct
- Respond promptly to enquiries
- Deliver services with reasonable care and skill
- Maintain accurate pricing
- Maintain positive customer experience
- Comply with all applicable laws
Deepija Telecom may monitor:
- Response time
- Customer complaints
- Service quality
- Ratings
- Compliance history
11. Right to Suspend, Reject, or Offboard Vendors
Deepija Telecom reserves the absolute and sole discretion to suspend, restrict, deactivate, or permanently remove any Vendor at any time, with or without prior notice, including but not limited to:
- Poor performance
- Low customer ratings
- Repeated customer complaints
- Non-payment
- Fraud
- Misrepresentation
- False certifications
- Fake reviews
- Violation of these Terms
- Regulatory concerns
- Inactivity
- Technical issues
- Reputational risk
- Business restructuring
- Operational requirements
- Commercial decisions
- Any circumstance that Deepija Telecom reasonably believes is not in the best interest of the Company, the platform, or its customers
Removal from the platform shall not entitle the Vendor to compensation or damages.
12. Customer Data & Privacy
All client information obtained through VoiceBotMall shall be treated as confidential. The Vendor shall:
- Use client information only for fulfilling the requested services.
- Not sell, distribute, rent, or disclose customer data.
- Not use customer data for unrelated marketing without applicable consent.
- Comply with all applicable data protection and privacy laws.
13. Confidentiality
The Vendor shall keep confidential:
- Client information
- Commercial terms
- Pricing
- Product documentation
- Business strategies
- Technical information
- Platform data
- Trade secrets
This obligation survives termination.
14. Intellectual Property
Deepija Telecom owns all rights in:
- VoiceBotMall
- Platform design
- Branding
- Logos
- Software
- Website content
- Marketing materials
The Vendor grants Deepija Telecom a non-exclusive, worldwide, royalty-free licence to use the Vendor’s name, logo, trademarks, and marketing materials solely for operating and promoting the platform.
The Vendor shall not use the VoiceBotMall or Deepija Telecom name, logo, trademarks, branding, or marketing material without prior written consent.
15. Reviews & Ratings
Vendors shall not:
- Post fake reviews
- Purchase reviews
- Manipulate ratings
- Encourage fraudulent reviews
- Post misleading testimonials
Deepija Telecom may remove any reviews it considers inappropriate.
16. Non-Solicitation
During the term of this Agreement and for 24 months thereafter, the Vendor shall not directly or indirectly:
- Recruit
- Employ
- Solicit
- Hire
- Engage
any employee, consultant, contractor, or representative of Deepija Telecom without prior written consent.
17. Compliance with Laws
The Vendor shall comply with:
- Applicable telecom regulations
- Consumer protection laws
- Tax laws
- Intellectual property laws
- Data protection laws
- Anti-spam regulations
- Government directives
18. Indemnity
The Vendor agrees to fully indemnify, defend, and hold harmless Deepija Telecom, its directors, officers, employees, affiliates, partners, and representatives from all losses, liabilities, damages, penalties, legal costs, expenses, or claims arising out of:
- Breach of these Terms
- Negligence
- Fraud
- Customer disputes
- Regulatory violations
- Intellectual property infringement
- Misrepresentation
19. Limitation of Liability
To the fullest extent permitted by law, Deepija Telecom shall not be liable for:
- Loss of profits
- Loss of revenue
- Business interruption
- Indirect damages
- Consequential damages
- Technical failures
- Internet outages
- Client disputes
- Vendor misconduct
Deepija Telecom’s aggregate liability shall not exceed the total subscription fees paid by the Vendor during the preceding three (3) months.
20. Force Majeure
Deepija Telecom shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to:
- Natural disasters
- Government actions
- War
- Cyber-attacks
- Internet failures
- Telecom failures
- Power outages
- Pandemics
- Labour disputes
21. Modification of Terms
Deepija Telecom reserves the right to amend, update, or modify these Terms at any time. Continued use of VoiceBotMall following such changes constitutes acceptance of the revised Terms.
22. Termination
Either party may terminate this Agreement by written notice. Deepija Telecom may terminate immediately in cases involving:
- Non-payment
- Fraud
- Misconduct
- Regulatory concerns
- Breach of these Terms
- Business or operational reasons
Upon termination:
- Vendor listings may be removed.
- Platform access shall cease.
- DIDs may be disconnected and reclaimed.
- Outstanding payments become immediately due.
23. Survival
The following provisions shall survive termination:
- Lead Ownership
- Non-Circumvention
- Commission Protection
- Confidentiality
- Intellectual Property
- Payment Obligations
- Indemnity
- Limitation of Liability
- Dispute Resolution
- Governing Law
24. Governing Law & Jurisdiction
This Agreement shall be governed by the laws of India. The parties agree that the courts located in Hyderabad, Telangana, shall have exclusive jurisdiction over any dispute arising under these Terms.
